ESSENTIAL LEGAL DUE DILIGENCE FOR PROSPECTIVE BUYERS

INTRODUCTION

While the previous part covered what sellers need to have in order, this part focuses on what buyers need to verify — the legal due diligence that helps protect a property purchase long before it is finalized.

Finding the right property in Sri Lanka can be exciting. However, a property that appears to be an excellent investment can quickly become a costly mistake if its legal documentation is not properly verified. Whether you are buying land in Sri Lanka, purchasing a house, or investing in real estate, legal due diligence should be one of the most important stages of your property-buying journey — not something considered only after you have already fallen in love with the location.

Below are the key legal checks every buyer should carry out before purchasing property in Sri Lanka.

I. CONDUCT A COMPREHENSIVE TITLE SEARCH

The first step when buying property in Sri Lanka is to confirm that the seller holds a clear and marketable title.

A title investigation typically traces the property’s ownership history back approximately 30 years, using the relevant deeds and Land Registry records. The purpose is to identify any potential defects or competing claims before the purchase is finalized — not after.

The search should also take into account issues such as co-ownership, life interests, mortgages, previous transfers, and other third-party interests that may affect the property.

Never assume that possession of a deed alone means there are no title issues. A deed tells only part of the story.

II. VERIFY THE SURVEY PLAN AND PROPERTY BOUNDARIES

The survey plan is another important document that requires careful review.

Buyers should confirm that the plan accurately represents the land being purchased and verify the relevant approvals associated with it. Depending on the circumstances, an updated survey or resurvey may be necessary before proceeding with the purchase.

The boundaries, extent, and access shown in the documentation should always be cross-checked against the actual physical property rather than simply being accepted at face value.

It is also important to review relevant local-authority documentation, including street line, building line, and non-vesting/no-acquisition confirmations, where applicable.

III. CONFIRM BUILDING APPROVALS

If the property includes a house, apartment, or other structure, due diligence should not be limited to the land alone. Buyers should confirm that the building has the necessary approved building plan and development approvals from the relevant local authority.

This becomes particularly important when a property has been altered after its original construction.

For example, an owner may have obtained approval for the original structure but later added a second floor, rooftop room, additional kitchen, or extension. These additions should not automatically be assumed to be covered by the original approval.

IV. VERIFY THE CERTIFICATE OF CONFORMITY

Where applicable, buyers should also verify the property’s Certificate of Conformity (CoC).

The CoC confirms that the completed construction complies with the approved development permit and building plans.

An approved building plan alone is not sufficient. Buyers should establish that what has actually been constructed on the property matches what was approved on paper.

V. ENSURE DOCUMENTATION CORRESPONDS WITH THE PHYSICAL PROPERTY

This is one of the most critical elements of property due diligence in Sri Lanka.

The deed, survey plan, approved building plan, and other supporting documents should always be reviewed alongside the property’s actual physical condition.

A well-presented house with seemingly complete paperwork can still carry hidden risks if there are unapproved alterations, boundary discrepancies, or other differences between the documentation and the property itself.

In short: what exists on paper should match what exists on the ground.

VI. CONFIRM LEGAL ACCESS AND ROADWAY RIGHTS

A property can have a completely clear title and still have access-related complications.

If the property does not connect directly to a public road and instead relies on a private road or right of way, buyers need to establish the legal basis for that access. Is it a registered right, an informal arrangement, or something that is disputed?

The width and location of the access road can also be important, depending on the property and applicable planning requirements.

Any existing disputes or court proceedings relating to the property or its access should be investigated before moving forward.

A valuable property can become considerably less valuable if accessing or developing it later turns into a legal dispute.

CONCLUSION: SAFEGUARDING YOUR PROPERTY INVESTMENT

Buying real estate in Sri Lanka is a significant financial commitment, and proper legal due diligence — rather than the property’s appearance, location, or asking price — should guide the decision to proceed.

From the title search and survey plan to building approvals, the Certificate of Conformity, and legal road access, every document deserves careful and professional review before you sign.

The right property is not simply the one that looks right. It is the one where the ownership, documentation, approvals, physical condition, and legal access all stand up to proper verification.
